Policy of Ethics

Basic Policy
It is the mission of all executives and employees to set a good example to others by implementing the following guiding principles as an important aspect of their business, and to conduct themselves in a socially acceptable manner that is backed up by a sophisticated ethical awareness. As part of this mission, all members should make every effort to disseminate awareness of the following principles among related parties and other organizations within the group, and to encourage the adoption of following guiding principles. In addition, all members should take every step to grow in unison with the local community under the awareness that we are a member of the local community.
Guiding Principles
1.General Rules

- 1.1 Compliance with laws.
- During the course of our business activities, we comply with the laws and regulations of each country and region, and abide by both international rules and company rules.
2.Relations with Society

- 2.1 Compliance with laws relating to imports and exports
- We abide by the various laws, international treaties and other regulations concerning trade, and conduct legitimate imports and exports along with thorough import and export management.

- 2.2 Compliance with the various kinds of business laws and regulations
- During the course of our business activities, we seek to confirm the various kinds of business laws and regulations and, having gained a sufficient understanding of their content, such as the kinds of permission we need to obtain, abide by these laws and regulations.

- 2.3 Prohibition of political donations
- We do not support specific political groups, political parties or politicians, including candidates. We prohibit doing political donations in any form.

- 2.4 Severing relations with anti-social forces
- We take a firm stance against anti-social forces and groups, with whom we will not be involved under any circumstances.

- 2.5 Respecting the intellectual property rights of others
- We respect the intellectual property rights of others and will not violate these.

- 2.6 Protection of personal information
- We do not collect or use the personal information of employees etc. of company, customers, other related companies or any other concerned parties for anything other than business purposes. Furthermore, when managing this information, we take sufficient care to insure that the information is not leaked to any unauthorized parties.

- 2.7 Conservation of the environment
- In our capacity as a good corporate citizen, we take a proactive stance toward conserving the environment and making ongoing improvements to it, thus fulfilling our duties to society as a member of community.

- 2.8 Product Safety
- During the course of our business activities including product development, manufacturing, sales and trading, we comply with the laws, regulations and safety measurements of each country and region abide by both international rules and company rules.
Furthermore, by implementing safety protocol in designing product, we apply appropriate quality assurance system to ensure product safety at all time.
3. Relations with Customers, Business Partners and Competitors

- 3.1 Compliance with the Antimonopoly Act and other related laws
- We are not involved in private monopolization, unreasonable restraints of trade or unfair trade practices, and comply with the Antimonopoly Act along with the competition laws of each country.

- 3.2 Compliance with the Act against Delay in Payment of Subcontract Proceeds, Etc. to Subcontractors
- We do not coerce subcontractors into business transactions by use of our business position.

- 3.3 Prohibition of unfair competition
- We do not make improper use of other companies' trade secrets or conduct our own business activities in a manner that would damage our trust among other companies. In addition, we do not use the products or business labels of others without permission, nor do we produce or sell imitation products.

- 3.4 Prohibition of giving or receiving cash or cash vouchers
- With the exception of those things considered appropriate under socially accepted conventions, such as money or gifts given at a funeral as a form of condolence or other ex gratia payments of money, we do not give cash or cash vouchers to other company and individual members cash or cash vouchers from other company or receive them from other company and individual.

- 3.5 Entertaining and exchanging gifts with customers
- We do not entertain or exchange gifts with customers or suppliers to an extent that exceeds the scope of what is considered appropriate under socially accepted conventions. In addition, we do not engage in prohibited entertainment of or giving gifts to public officials, both in Japan and abroad.
4. Relations with Shareholders and Investors

- 4.1 Disclosure of management information
- We disclose corporate information such as management information and reports on business activities in an accurate and timely manner in accordance with the relevant laws.

- 4.2 Prohibition of insider trading
- Under any circumstances, we do not use undisclosed information that is not known to the public to profit through purchase or sale of stocks of this company or Tokyo Electron Limited. In addition, under any circumstances our company's executives or employees who have obtained important knowledge of other companies, such as customers and suppliers, during the course of our business, do not buy or sell stocks of these companies until these companies have disclosed the relevant information to the public.
5.Relations with Employees

- 5.1 Relations with Employees
- We adhere to all laws relating to employment, such as the Labor Standards Act.

- 5.2 Respect for human rights
- We respect the fundamental human rights of all people and under no circumstances permit acts of a kind which impair the dignity of individuals, such as unfair discrimination or harassment for such reasons as position within the company, type of employment, age, sex, place of birth, ancestors, nationality, race, disabilities, religion, beliefs or marital status.

- 5.3 Harassment
- Under no circumstances will anyone at the company use their position to force anyone into accepting acts or remarks that the person finds disagreeable.

- 5.4 Safety and health in the workplace
- Under the principle of "safety first", we seek to ensure safety in the workplace and for all employees to conduct themselves in a safe manner, with the securement of safety and health in the workplace extending to all concerned parties, including other collaborating companies.
6.Relations with the Company

- 6.1 Compliance with employment regulations
- We abide by all rules and regulations connected with personnel relations, such as our employment regulations.

- 6.2 Prohibition of conflicts of interest
- When carrying out their work, individuals at this company will not engage in activities of a kind that may harm the interests of the company for individual gain.

- 6.3 Controls on business dealings with companies run by family members
- Individuals are to make prior notification in the event that they intend to engage in business dealings with a company run by themselves or a family member.

- 6.4 Prohibition of diverting company assets
- We do not allow the company's assets (either material or immaterial assets) to be used or disposed of for personal purposes.

- 6.5 Appropriate handling of company assets (including intellectual property rights)
- We use and manage the company's assets in a manner which is appropriate, keeping the necessary records irrespective of whether these assets are material or immaterial in nature.

- 6.6 Correct account processing
- We process accounts according to standards that are generally deemed to be fair and appropriate.

- 6.7 Correct retention of transaction records
- We accurately record all transactions relating to the company's activities and ensure that these records are retained in a correct manner.

- 6.8 Management of confidential information
- We recognize that confidential information such as customer details, know-hows and other trade secrets are important corporate assets, and take the necessary measures to maintain the confidentiality of this information.
In addition, we also respect the confidentiality of information disclosed to us through third parties, and take the same steps as above to maintain this confidentiality.

- 6.9 Correct use of computer systems
- We do not misuse computer systems.

- 6.10 Prohibition of political, religious and other inducement activities
- We do not coerce or invite others within the workplace to join or support specific political parties, religious organizations or other groups based on individual beliefs or preferences.
